Platform Terms

These terms govern your use of the Konduit platform to sell your products — directly, and through partners. Konduit is a product operated by Corehi Limited.
1. Who you are contracting with
Konduit is operated by Corehi Limited (“Corehi”, “we”, “us”), a company registered in Nigeria [TO CONFIRM: RC number and registered address]. “Konduit” is our product and brand name; there is no separate legal entity of that name. In these terms “you” means the business that opens an account.
2. What the service is
Konduit is a hosted commerce platform. It gives you an online store, a product catalogue, order and delivery management, payment collection, and — depending on your plan — tools to sell through partners such as distributors, resellers and stockists. Some features use automated and AI-assisted systems to draft content and answer shopper questions; you remain responsible for what your store publishes.
We may change, add or remove features. Where a change materially reduces what your plan provides, we will tell you before it takes effect.
3. Your account
You must give accurate business details and keep them current. You are responsible for everything done under your account, including by the people you invite to it, and for keeping credentials secure. You must be legally able to sell the products you list.
4. Fees
Your plan, its monthly price and any free trial are shown to you in full before you create your account, and the figures shown there are the ones that apply. Current prices and trial terms are on our pricing page. Konduit does not take a percentage of your sales.
Payment processing is separate. If you use Konduit’s own payment route, the provider’s actual charge on the full amount paid, and a Konduit service fee shown at signup and on the pricing page, apply to those payments; the service fee is not returned on refunds or disputes. If you use your own payment provider, bank transfer or pay on delivery, no Konduit service fee applies to those payments.
Any free trial is described in your offer. No card is required to open an account. Konduit payments fees are deducted from proceeds after the provider settles the funds to us. Your subscription is invoiced monthly and renews monthly until you cancel it.
You can cancel at any time from Settings. You pay what is already owed for the period you have used.
We may change prices. A change takes effect from your next monthly period, and we will tell you before it applies.
5. Taking payment, and how you get paid
You are the seller. Your contract for a purchase is with your shopper, and you are responsible for the goods, for your own returns and refund practice, and for any consumer-law obligations that apply to you.
Where you use Konduit’s own payment route, payments from your shoppers are collected through our payment providers into an account operated by Corehi. We pay available proceeds to your verified bank account after the provider settles the funds, deducting the actual processing charge, the Konduit service fee, and any refunds or chargebacks. Your first two weeks settle weekly; after that, available proceeds settle each business day. Small balances are gathered and paid within a week of becoming available. Where you connect your own payment provider, funds settle to you directly.
Before your payout details are in place, we hold the amounts due to you. You have 14 days from first opening your store to add and verify a payout account. We will tell you in the portal how much is held. If the period passes without a verified payout account, new orders may stop until one is added. Held amounts remain yours and are released once we can pay them to you.
You are responsible for your own taxes. We are not your tax agent and do not file on your behalf. [TO CONFIRM: whether Corehi is required to withhold or remit any Nigerian tax on merchant sales, and whether the platform fee attracts VAT]
6. Selling through partners
If your plan includes partner features, you decide which partners you work with, what they may sell, and on what commercial terms. Those arrangements are between you and your partner. We provide the tools that record them and calculate what each side has earned; we are not a party to your agreement with a partner.
7. Your content and your data
Your products, images, text, customer records and order history remain yours. You give us the permission we need to host, display and process them in order to run the service for you — including showing them on your storefront and to partners you authorise.
You are responsible for having the right to use what you upload, and for it not infringing anyone else’s rights.
8. Your shoppers' personal data
For personal data about your shoppers, you are the data controller and we act as your processor. Our Data Processing Terms form part of this agreement and describe how we handle that data on your behalf. How we handle your own account data is described in our Privacy Policy.
9. Acceptable use
You may not use Konduit to sell goods or services you are not permitted to sell, to break the law, to infringe others’ rights, to send unsolicited messages in breach of applicable rules, or to attack, probe or overload the platform. We may suspend an account where we reasonably believe this clause is being breached, or where a payment provider or regulator requires it.
10. Closing your store, and ending this agreement
You can close your store at any time. Closing it stops new orders immediately. You keep access to your records and can export them.
We may end this agreement on 30 days’ notice, or immediately where you are in serious breach. You may end it at any time by closing your store. On ending, we will settle amounts due to you, less what you owe us, once outstanding orders, refunds and chargeback windows have closed.
After your account ends we keep your data for 30 days so you can reopen or export it, then delete it — except financial records, which we must keep for the period Nigerian law requires.
11. Availability and liability
We work to keep the service available but do not guarantee uninterrupted operation, and we do not guarantee any level of sales. Features that rely on third parties — payment providers, delivery carriers, messaging channels — depend on those providers.

12. Changes to these terms
These terms are versioned. When we change them we publish a new version and record which version you accepted. Where a change is material we will ask you to accept the new version, or give you notice before it applies.
13. Governing law
These terms are governed by the laws of the Federal Republic of Nigeria, and the courts of [TO CONFIRM: judicial division, e.g. Lagos State] have jurisdiction. [TO CONFIRM: whether disputes go to arbitration instead, and under which rules]
